Welcome to modernzen.co (the "Website"), operated by Modern Zen Strategies, a Delaware C Corporation ("Company," "we," "us," or "our"). By accessing or using our Website and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Website or services.

1. Acceptance of Terms

By accessing, browsing, or using our Website or any services provided through the Website, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. We reserve the right to modify these Terms at any time. Your continued use of the Website following any changes constitutes your acceptance of such changes.

2. Eligibility

You must be at least 18 years of age to use our Website and services. By using our Website, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Website on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Description of Services

Modern Zen Strategies provides economic development consulting, strategic advisory services, and related business solutions. We also offer the Modern Zen Subscription, a recurring AI-native service offering described in Section 4 below. The specific services available may change from time to time at our sole discretion. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice.

4. Modern Zen Subscription

4.1 Subscription Services. In addition to our consulting and advisory services, we offer the Modern Zen Subscription (the "Subscription"), an AI-native service offering through which subscribers may access search engine optimization (SEO) services, marketing support, application development and support, and other scopes of work as made available by us from time to time. The specific services, features, and scope included in the Subscription may change at our sole discretion.

4.2 Subscription Fees. The Subscription is offered at a fee of two hundred fifty dollars ($250.00) per month (the "Subscription Fee"). The Subscription Fee is billed on a recurring monthly basis until cancelled. By enrolling in the Subscription, you authorize us to charge the Subscription Fee to your designated payment method on a recurring monthly basis until you cancel in accordance with Section 4.5.

4.3 Billing and Payment Processing. We use Stripe, a third-party payment processor, to manage billing and to securely store and process your payment card information. By enrolling in the Subscription, you agree to Stripe's applicable terms of service and privacy policy in addition to these Terms. We do not store your full payment card details on our own systems. You are responsible for ensuring that the payment information associated with your account is accurate and current. If a payment fails, is declined, or cannot be processed, we may suspend or terminate your access to the Subscription.

4.4 No Refunds. All Subscription Fees are non-refundable. We do not provide refunds or credits for any partial subscription period, unused services, or otherwise, except where a refund is required by applicable law.

4.5 Cancellation. You may cancel your Subscription at any time by accessing the "Manage Billing" link located in the footer of the Website. There is no fee or penalty for cancellation. Upon cancellation, you will not be charged for any subsequent billing period. Cancellation takes effect at the end of your then-current billing period, and you will retain access to the Subscription through the end of that period. Consistent with Section 4.4, no refund will be issued for the remainder of the then-current billing period.

4.6 Ownership of Deliverables. Notwithstanding Section 6 (Intellectual Property Rights), all code, work product, and deliverables created by us specifically for a subscriber in the course of providing the Subscription services (collectively, "Deliverables") shall be the property of that subscriber upon creation and delivery. This Section 4.6 applies solely to Deliverables created for the subscriber and does not transfer any rights in the Website, our platform, or any other materials governed by Section 6.

4.7 Response Times. We will use commercially reasonable efforts to respond to subscriber service requests within twelve (12) hours. Stated response times are standard targets and are not guarantees, and actual response times may vary depending on the nature and complexity of the request and other operational factors.

5. User Accounts

If you create an account on our Website, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. We reserve the right to terminate accounts, refuse service, or cancel orders at our sole discretion.

6. Intellectual Property Rights

All content on this Website, including but not limited to text, graphics, logos, images, audio clips, digital downloads, data compilations, and software, is the property of Modern Zen Strategies or its content suppliers and is protected by United States and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any materials from our Website without our prior written consent. Ownership of code, work product, and deliverables created for subscribers under the Modern Zen Subscription is governed by Section 4.6 (Ownership of Deliverables) and is not subject to this Section 6.

7. Prohibited Conduct

You agree not to:

Use the Website for any unlawful purpose or in violation of these Terms
Attempt to gain unauthorized access to any portion of the Website or any systems or networks connected to the Website
Interfere with or disrupt the Website or servers or networks connected to the Website
Use any robot, spider, or other automatic device to access the Website
Introduce any viruses, Trojan horses, worms, or other harmful material
Impersonate any person or entity or misrepresent your affiliation with any person or entity
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Website

8. Disclaimer of Warranties

THE WEBSITE AND ALL SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

9. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MODERN ZEN STRATEGIES AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE WEBSITE OR SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, FOR SERVICES IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM.

10. Indemnification

You agree to indemnify, defend, and hold harmless Modern Zen Strategies and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including attorney's fees) arising from: (a) your use of the Website or services; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you submit or transmit through the Website.

11. Third-Party Links

The Website may contain links to third-party websites or services that are not owned or controlled by Modern Zen Strategies. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that we shall not be responsible or liable for any damage or loss caused by your use of any such third-party websites or services.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Website shall be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of such courts. Any claim or cause of action arising out of or related to these Terms or the Website must be filed within one (1) year after such claim or cause of action arose.

13. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent. If such modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference herein, constitute the entire agreement between you and Modern Zen Strategies concerning the Website and services and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.
